Tata Capital Limited (NSE:TATACAP) has approved the execution of a Securities Subscription and Purchase Agreement (SSPA) to acquire approximately 88.6% of the issued and paid-up share capital, on a fully diluted basis, of Yogakshemam Loans Limited (Yogloans). The proposed transaction was approved by the company's Board of Directors on July 13, 2026, and is subject to customary conditions, including receipt of regulatory approvals. Upon completion, Yogloans will become a subsidiary of Tata Capital.

The acquisition will be carried out through a combination of purchasing equity shares from existing shareholders and subscribing to new equity shares of Yogloans. The company stated that the transaction will be executed through cash consideration.

Transaction Includes Capital Infusion

According to the disclosure, Tata Capital will subscribe to equity shares of Yogloans for an aggregate consideration of approximately INR 93 crore. The consideration payable for purchasing shares from the existing sellers will be determined in accordance with the terms of the SSPA, based, among other factors, on the target company's net worth as of September 30, 2026.

The transaction is based on a pre-money equity valuation of Yogloans not exceeding INR 318 crore. Following completion of the acquisition, Tata Capital is expected to hold approximately 88.6% of the company's fully diluted equity share capital.

RBI Approval Required Before Completion

The proposed acquisition requires prior approval from the Reserve Bank of India (RBI). Tata Capital expects the transaction to be completed within eight months from the execution of the Securities Subscription and Purchase Agreement, subject to the fulfilment of customary conditions precedent and receipt of regulatory approvals.

Yogloans Operates Gold Loan Business

Yogakshemam Loans Limited is an RBI-registered non-banking financial company (NBFC) primarily engaged in the gold loan business. Incorporated in 1991, the company operates through a network of 162 branches across Kerala, Karnataka, Tamil Nadu and Andhra Pradesh.

As of March 31, 2026, Yogloans had assets under management (AUM) of approximately INR 708 crore and reported turnover of INR 14,038.53 lakh with profit after tax of INR 1,421.20 lakh during FY2025-26. The company serves around 32,000 gold loan customers while also offering vehicle loans, business loans, consumer durable loans, term loans and microfinance loans.

Tata Capital Expands Retail Lending Portfolio

In its filing, Tata Capital stated that the acquisition aligns with its strategy of expanding and diversifying its retail lending portfolio in India. The company said the transaction provides access to an established gold loan platform with an existing branch network, customer franchise and experienced management team.

The company also noted that Yogloans' promoter and Managing Director, Mr. Unnikrishnan Idicharm Veetil, will continue to lead the business after completion of the acquisition, ensuring continuity for customers, employees and business partners.
